Legislative Overview
Law No. 34 of 1976 promulgating the Commercial Register Law, as amended, constitutes the principal legislative framework governing commercial registration in the Arab Republic of Egypt. It establishes the statutory requirements for the registration of merchants, commercial companies, public legal entities engaged in commercial activities, cooperatives conducting commercial activities, and persons or entities carrying out commercial agency activities on behalf of foreign establishments.
The Law regulates the establishment and administration of commercial registers, the registration of commercial activities and entities, the amendment and renewal of registration particulars, and the cancellation of commercial registrations. It also prescribes the conditions applicable to foreign nationals and foreign companies seeking commercial registration in Egypt, subject to the relevant statutory requirements and exceptions.
Furthermore, the Law establishes disclosure obligations concerning commercial registration particulars, regulates access to extracts and certificates issued by the commercial register, prescribes the applicable registration fees, and provides for penalties arising from violations of its provisions. Its implementing regulations govern the procedural requirements for registration, amendment, renewal, and cancellation.
The Law is of particular significance in corporate establishment, commercial operations, regulatory compliance, business transactions, and legal due diligence in Egypt.
Legislative Framework
The Law principally governs the statutory scope of commercial registration, including the persons and entities required to register, the eligibility requirements for registration, and the specific conditions applicable to foreign nationals and foreign entities. It regulates the registration and disclosure of commercial particulars, amendments to registered information, periodic renewal, and cancellation of registration, while establishing the procedures for obtaining official extracts and certificates from the commercial register.
The legislative framework further addresses the registration fees applicable to commercial register transactions, the obligations of merchants and registered entities concerning the disclosure of their commercial registration details, and the administrative and judicial mechanisms for reviewing registration decisions. It also establishes penalties for submitting false information, misrepresenting registration particulars, disclosing confidential information obtained in the course of official duties, and committing other violations of the Law.
The Law must be read in conjunction with its implementing regulations and the subsequent legislative amendments, particularly Law No. 198 of 2020, which amended provisions concerning registration eligibility, registration applications, and renewal requirements.
